Terms of Service

1. Acceptance of Terms & Eligibility

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Maker", "Founder", "User", or "Visitor") and SPREECODE (OPC) PRIVATE LIMITED ("Spotboard", "Company", "we", "us", or "our") governing your access to and use of https://spotboard.space, associated APIs, embeddable rank badges, and related services.

You must be at least 18 years old or the legal age of majority in your jurisdiction to register a Maker account, list products, or submit bids on the Attention Board.

2. Product Listings & Perpetual Discovery

Makers can list technology products, software-as-a-service (SaaS) tools, AI agents, developer kits, and web applications free of charge. Spotboard provides perpetual continuous indexation and Schema.org structured SEO for every verified product.

• Truth in Listings: All screenshots, descriptions, URLs, and pricing classifications must accurately represent the functioning product.
• Ownership & Authority: By registering a product, you warrant that you are the creator, authorized employee, or designated representative of the software.
• Prohibited Content: Products containing malware, phishing tools, scam operations, illicit financial schemes, or defamatory materials will be banned immediately.

3. Organic Ranking Integrity & Anti-Fraud

Organic ranking positions on Spotboard are calculated server-side using decay formulas based on vote velocity, authentic engagement, and community trust.

• Zero Pay-to-Win Organic Rule: No amount of paid promotion, advertising, or Attention Board bidding will alter or boost an organic leaderboard score.
• Anti-Bot Voting: The use of automated vote scripts, proxy rings, paid voting pools, or fake account clusters is strictly forbidden. Accounts and products caught manipulating organic scores face permanent removal.

4. Attention Board Bidding, Pricing & Difference Billing

The Attention Board is a separate, transparent paid marketplace where product founders bid for high-visibility promotional ranking slots.

• Transparent Bid Accounting: All active bid amounts are publicly visible on the leaderboard.
• Difference-Only Re-Bidding: When scaling up an active bid on your product, your existing active balance is credited, and you are charged only the net difference required to secure the higher position.
• Outbid Notifications & Protection: If another founder places a higher bid that moves your position, you receive instant telemetry notifications. Unused bid credit remains attached to your product ledger for future boosts or account credit.

5. Embeddable SVG Badges & IP License

Spotboard grants makers a free, perpetual, non-exclusive license to embed dynamic Spotboard Rank Badges (`https://spotboard.space/api/badge/[slug].svg`) on their websites, GitHub READMEs, and landing pages to display verified community rank standing.

6. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any legal action, suit, or proceeding arising out of or relating to these Terms or the platform shall be subject to the exclusive jurisdiction of the competent courts in Uttar Pradesh, India.

7. Disclaimer of Warranties & Limitation of Liability

Spotboard is provided on an "AS IS" and "AS AVAILABLE" basis. SPREECODE (OPC) PRIVATE LIMITED does not guarantee specific sales, outbound conversion rates, or perpetual #1 rank positions. In no event shall the Company be liable for indirect, incidental, or consequential damages arising from service interruption.
